Administrative Structures
The administration of Raiffeisen Bank S.A. is carried out under a dualistic system composed of the Management Board (Directorat) and the Supervisory Board (Consiliul de Supraveghere).
The dualistic system allows the separation of responsibilities for managing a commercial company — carried out by the Management Board — from control responsibilities, which are fulfilled by the Supervisory Board. This system ensures efficiency in the operational decision‑making process while strengthening oversight over decision makers.
Supervisory Board
The Supervisory Board exercises permanent oversight over the day‑to‑day management of the bank performed by the Management Board.
Management Board
The Management Board ensures the operational management of the bank and consists of 7 members appointed by the Supervisory Board.
Responsibilities
The Supervisory Board exercises permanent oversight over the day‑to‑day management of the bank performed by the Management Board. The Supervisory Board consists of 8 members, appointed by the General Meeting of Shareholders for four‑year terms, with the possibility of being re‑elected for additional periods.
The Management Board ensures the operational management of the bank. It consists of 7 members appointed by the Supervisory Board for mandates of up to 4 years, with the possibility of being re‑elected for additional periods.
The activities of the Supervisory Board and the Management Board are regulated by current Romanian legislation and governed by the provisions of the Bank’s Articles of Association (Articles 15 and 16).
